The terms that govern your use of Neumann.

These terms govern your use of the Neumann editor and its cloud agents. Please read them carefully; they include important limits on liability and describe your responsibilities when running agents against your code.
Acceptance of these terms
By downloading, installing, or using Neumann, you agree to these terms. If you are using Neumann on behalf of an organization, you agree on its behalf and confirm you have authority to do so.
The service
Neumann is a code editor that drives coding agents across your repository, with optional cloud agents that run the same tasks on infrastructure we operate. Neumann does not bundle agents; it runs the ones installed on your machine or the runners we host, and normalizes their output into one review flow.
Accounts
Some features require an account. You are responsible for keeping your credentials secure and for activity that happens under your account. Notify us promptly of any unauthorized use.
Your content and repositories
You retain all rights to your code and the content you create with Neumann. To operate features you request — most notably cloud runs and indexing — you grant us a limited license to store and process that content solely to provide those features. We do not use your repository contents to train models.
Agents and third-party tools
Neumann runs agents with permission prompts suppressed so a turn cannot block waiting for input. Because of this, you should only run Neumann against repositories you trust. You are responsible for the actions of the agents you run and for reviewing every change before you accept it.
When you connect a third-party agent or model provider, your use of that provider is subject to its own terms. We are not responsible for third-party tools.
Acceptable use
- Do not use Neumann to build or operate anything unlawful, or to infringe others' rights.
- Do not attempt to disrupt, reverse engineer, or gain unauthorized access to the hosted service.
- Do not use cloud agents to run workloads unrelated to software development, or to evade usage limits.
Plans, billing, and cloud usage
Paid plans and cloud agents are billed according to the pricing shown at checkout. Cloud usage may be metered. Fees are non-refundable except where required by law, and you can cancel a subscription at any time; access continues through the end of the paid period.
Availability and beta features
Neumann is offered on an ongoing basis but may change, and some features are labelled beta and provided as-is. We may modify or discontinue features, with notice where practical.
Our intellectual property
Neumann, its software, and its branding are owned by us and our licensors. These terms do not grant you any right to our trademarks or to redistribute the application except as expressly permitted.
Disclaimer of warranties
Neumann is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. You are responsible for reviewing agent output before relying on it.
Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for lost profits or data, arising from your use of Neumann. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim.
Indemnification
You agree to indemnify us against claims arising from your content, your use of Neumann, or your violation of these terms, to the extent permitted by law.
Termination
You may stop using Neumann at any time. We may suspend or terminate access if you breach these terms or to protect the service. Provisions that by their nature should survive termination will survive.
Governing law
These terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-laws rules. Disputes will be handled by the courts of that jurisdiction.
Changes to these terms
We may update these terms as the product and applicable law change. Material changes will be announced in the app or by email, and the effective date above will be updated. Continued use after a change means you accept the updated terms.
